What is Trademark Assignment?
Trademark Assignment is the transfer of ownership of a trademark from the assignor (current owner) to the assignee (new owner) under Section 37–45 of the Trade Marks Act, 1999. It can be with or without the goodwill of the business. The assignment must be registered with the Trade Marks Registry to have legal effect against third parties.

What is assignment "with goodwill" vs "without goodwill"?
Assignment with goodwill transfers both the mark and the business's reputation associated with it. Without goodwill means only the mark is transferred. The latter requires a public advertisement in the Trade Marks Journal.
